Terms of Service

PackX provides a technical platform and marketplace infrastructure that allows independent content creators (“Creators”) to configure and offer digital packages (“packs”) to their fans.

• The Mechanic: Each pack contains a randomized digital collectible (“Reward”), recorded as a uniquely identified item in a public, permanent record system that no single company — including PackX — operates or can alter.
• The Roles: The Creator makes, prices, and offers the digital goods. PackX provides the checkout technology, the automated systems that run each drop, reveal mechanics, and file delivery. PackX is the merchant of record: your payment is charged to PackX’s payment-processing account, and PackX then transfers the Creator’s share to them — so your card statement will show PackX, not the Creator. PackX does not create, own, or endorse Creator content and is not responsible for it.
• The Purpose: PackX is built strictly for entertainment and personal collecting. Packs and Rewards are not investments, financial instruments, wagers, or tickets to a lottery.

To use the Service, you must meet the following requirements:

• Age: You must be at least 18 years old (or the legal age of majority in your jurisdiction, if higher). The Service is strictly prohibited for minors.
• Sanctions & Legality: You represent that you are not located in, a citizen of, or a resident of any country or region subject to comprehensive U.S., EU, UN, or UK government sanctions (e.g., Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, and Luhansk regions of Ukraine). You also represent that you are not listed on any government list of prohibited or restricted parties (such as the OFAC Specially Designated Nationals list).
• Compliance: You are solely responsible for ensuring that using PackX complies with all local laws applicable to you.

To access the Service, you must log in via a supported third-party service (such as Google). Upon login, the Service provisions a personal collection account for you through our integrated provider, Privy. Your collection account is under your sole control.

• Only You Control It: Your collection account holds your digital packs and Rewards. PackX does not hold the credentials that control it, and we cannot access, manage, or move its contents on your behalf.
• Security Responsibility: You are entirely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Irreversibility: Because ownership records are permanent and public (see §8), we cannot reverse, refund, cancel, or recover any completed transfer. If you lose access to your login credentials, PackX cannot recover your collection account or the items inside it.
• Account Termination: We reserve the right to suspend, restrict, or terminate your account at our sole discretion, without notice, if we suspect fraud, abuse, a violation of law, or a breach of these Terms.

The core feature of PackX is the randomized generation of Rewards. By buying a pack, you acknowledge and agree to the following structural rules:

• No Blank Packs: Every pack purchased contains exactly one Reward. You are buying a guaranteed digital collectible; you are not paying for an empty box or a “loss.”
• Pre-disclosed Odds: Before you confirm any purchase, the drop page will display the full list of potential Rewards in that pool and the exact mathematical odds of receiving each tier.
• Fixed Depleting Pools: Drops use a fixed, transparent pool size. Each Reward exists in the pool a set number of times. As packs are purchased and opened, those items are removed from the remaining pool. Consequently, the odds of remaining items shift dynamically in real time, exactly like a physical box of blind-box trading cards.
• Independent Verifiable Randomness: The outcome of your pack opening is determined at the moment of opening by an independent, tamper-proof randomness service that operates outside PackX’s control. Neither you, PackX, nor the Creator can predict, alter, or influence the reward outcome.
• Subjective Value: Different Rewards may feature different artwork, scarcities, or subjective desirability. You accept the risk that the Reward you reveal may be perceived by you or the market as less valuable or desirable than other potential Rewards in the pool.

The Service is currently operating in a Beta capacity. The following restrictions apply:

• Digital-Only: All packs and Rewards are strictly digital assets. There are no physical goods, merchandise, or real-world redemptions tied to the beta platform.
• No Secondary Market: PackX does not provide, support, or operate a secondary marketplace, peer-to-peer trading system, or resale mechanism during the beta.
• No Investment Intent: You agree that you are purchasing packs solely for entertainment, personal enjoyment, and digital collecting. You must not buy packs with an expectation of financial profit, capital appreciation, secondary market liquidity, or investment returns. We make no promise that any Reward will have any monetary value, resale value, or utility outside the platform.

• Currency and Display: All prices on the platform are displayed and processed in U.S. Dollars (USD).
• Payment Methods: Purchases are made by credit or debit card.
• Payment Processors: Credit and debit card transactions are processed by our third-party payment provider, Stripe. By paying with a card, you agree to be bound by Stripe’s consumer terms.
• Merchant of Record: PackX is the merchant of record — not the Creator, even where the Creator receives their share through Stripe Connect. Your statement will show PackX, and PackX is the party responsible to you for payment processing, for refunds handled under §7, and for any applicable sales or consumption taxes on the purchase.
• Platform Fees: Purchases are subject to a non-refundable platform fee, which is clearly calculated and displayed at checkout.
• Chargeback and Disputes Policy: If you initiate an unjustified chargeback, payment reversal, or credit dispute via Stripe or your bank for a pack that was successfully delivered, we view this as fraud. We reserve the right to immediately freeze or permanently terminate your account, revoke platform access, and report the activity to credit bureaus or law enforcement.

Because digital packs are delivered directly to your collection instantly upon payment, all completed sales are final and non-refundable, except as explicitly stated below or required by local consumer-protection laws.

• Delivery Failures: If your payment is successfully processed but a technical platform failure prevents the pack from being delivered to your collection, you have not received what you paid for: we will either manually clear the delivery or issue a full refund (including the platform fee). If a pack reaches your collection but a fault on our side makes it permanently impossible to open, the same applies — you keep the protection even though the sale itself completed at delivery.
• Opening Errors: If a pack fails to open due to a randomness-service delay or an automated-system timeout, the platform will provide a technical recovery path to reset the pack to its unopened state so you can attempt the reveal again.
• Statutory Right of Withdrawal (EU/UK Consumers): If you reside in the European Union, European Economic Area, or the United Kingdom, consumer laws generally grant a 14-day right of withdrawal for digital-content purchases. However, by purchasing a pack on PackX, you explicitly request and consent to the immediate delivery of the digital content and acknowledge that your right of withdrawal expires the moment the digital pack is delivered to your collection. What you buy is the pack itself — the sale is complete on delivery of the pack, not when you later open it. Opening is a separate, free action you take on a pack you already own.

• Ownership Record: When you acquire a Reward, you own that specific, uniquely identified item, recorded in a public, permanent ownership register that PackX does not operate and cannot edit. Ownership gives you the right to hold, view, and transfer the Reward.
• Limited License to Content: Owning the Reward does not transfer copyright, trademark, or any other intellectual property rights in the underlying artwork, music, brand, or media associated with the Reward. Instead, you are granted a limited, personal, non-commercial, worldwide, royalty-free license to display and view the artwork of your Reward solely for your own private, non-commercial enjoyment.
• Restrictions: You may not commercialize, modify, create derivative works of, or exploit the artwork of any Reward, nor may you use it in any manner that suggests an official endorsement by the Creator or PackX without explicit written consent from the rights holder.
• Functional Digital Goods: Some Rewards are functional files meant to be used — for example, chat emotes, stickers, or overlays. When a drop offers functional goods, your purchase includes a license to use those files for their intended purpose as described on the drop page (for example, displaying an emote in your chat, stream, or server). Notwithstanding the personal, non-commercial limitation above, the Creator sets the permitted scope of use on the drop page; if no scope is stated, use is personal. This does not transfer copyright and does not permit resale, redistribution, or using the files to train AI systems.
• Hosted Media: Reward details and artwork may be hosted using distributed storage systems or third-party servers. PackX does not guarantee that hosted media will remain available or accessible indefinitely.

If you use the platform as a Creator to launch a drop:

• IP Warranties: You represent and warrant that you own or possess all necessary intellectual property rights, licenses, and permissions for all artwork, text, audio, and materials uploaded to your drop, and that your content does not infringe upon any third-party rights.
• Seller Status: You are the originator and seller of the digital goods in your drop: you are responsible for the content, for holding the rights to it, and for your own taxes on what you earn. For card sales, however, PackX is the merchant of record (payments are charged to PackX’s account and your share is transferred to you afterward), so PackX — not you — is the party the buyer transacts with for payment processing, chargebacks, and consumption taxes. You remain responsible for ensuring your drop itself complies with all local consumer-protection, marketing, tax, and gambling laws applicable to your audience.
• Platform License (limited to running your drop): You grant PackX a worldwide, non-exclusive, royalty-free license to store, host, back up, reproduce, reformat/resize, display, and transmit the artwork, audio, text, and files you upload solely to operate, deliver, and promote your drop — that is, to display your drop, run the reveal, and deliver your files to fans who buy and open a pack. This license is limited to what is technically necessary to provide the Service and is not sublicensable, except to our infrastructure and service providers (such as hosting, storage, CDN, and payment processors) acting on our behalf, under confidentiality, and only to run the Service. Here, “reformat/resize” means only the technical transformations needed to deliver and display your work (for example, generating platform-standard emote sizes, transcoding, or thumbnails) — never creative alteration of your art.
• You Keep Your Work: You retain all ownership and intellectual-property rights in the content and files you upload. PackX does not acquire ownership of your work; will not sell, resell, sublicense, or otherwise make your work available to third parties for their own purposes; and will not use your content or files to train, fine-tune, or develop any machine-learning or generative-AI system. The only people who receive your files are fans who purchase and open your packs, and only for the use you grant them (see §8).
• Attribution: Where you ask for it, PackX will credit you on your drop and, where practical, alongside the files delivered to your buyers.
• Removal: You may ask us to remove your content and files from active or future drops, and we will disable or remove them within a reasonable period. Fans who already purchased a pack may keep access to the specific files they bought, and we may retain limited records required for legal, tax, or transaction-integrity purposes. This is in addition to the copyright-takedown process in §10.
• Creator Payouts: Fees and payout allocations will be distributed in accordance with the dashboard settings configured at drop creation and any supplementary Creator Agreements. Card payouts require compliance with Stripe Connect verification and onboarding. If you fail Stripe’s compliance or verification checks, payouts may be delayed or frozen until those checks pass, or handled through an alternative payout path agreed with you.

PackX respects intellectual property rights and expects its users to do the same. We will respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA).

If you believe that any content hosted on PackX infringes your copyright, please submit a formal takedown notice to our designated Copyright Agent at legal@packx.io containing:

1. A physical or electronic signature of the copyright owner or authorized representative;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the material that is claimed to be infringing and where it is located on the Service;
4. Your contact information (address, telephone number, and email);
5. A statement that you have a good-faith belief that use of the material is not authorized; and
6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

You agree that you will not engage in, attempt to engage in, or assist others in engaging in any of the following prohibited behaviors:

• Minor Access: Allowing any person under the age of 18 to access or use your account.
• Market Manipulation: Attempting to manipulate the supply, perceived value, pricing, or demand of any drop or Reward through coordinated behavior, wash trading, or deceptive practices.
• Exploits & Bots: Using automated scripts, bots, scrapers, automated agents, or software exploits to purchase packs, bypass platform interfaces, disrupt checkout queues, or interfere with the independent randomness service.
• Financial Crimes: Using the Service to facilitate money laundering, terrorist financing, fraud, or to evade international sanctions compliance.
• System Disruption: Probing, scanning, testing, overloading, or attempting to breach the security infrastructure of our servers, web layer, or transaction systems.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

PACKX DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, ERROR-FREE, OR FREE OF VIRUSES, OR THAT DIGITAL ITEMS WILL REMAIN ACCESSIBLE OR READABLE. NO CONTENT OR ADVICE PROVIDED BY PACKX SHOULD BE CONSTRUED AS FINANCIAL, LEGAL, TAX, OR INVESTMENT ADVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PACKX, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR LOSS/INACCESSIBILITY OF COLLECTION ACCOUNTS, ACCOUNT BALANCES, OR DIGITAL REWARDS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PACKX FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE LIABILITY IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You agree to indemnify, defend, and hold harmless PackX, its parent entity, affiliates, officers, directors, and employees from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Service; (b) any content or drop assets you upload or sell as a Creator; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property or privacy rights.

• Force Majeure: PackX will not be held liable or responsible for any failure, delay, or disruption in performance caused by events outside our reasonable control, including but not limited to failures or congestion in the third-party record-keeping networks the Service relies on, critical bugs in automated transaction systems, cloud infrastructure outages, acts of God, labor disputes, civil unrest, or changes in regulatory frameworks governing digital goods.
• Modifications: We may modify these Terms at any time. If we make material changes, we will notify you by updating the effective date at the top of this document and posting appropriate platform notices. Continued use of the platform after updates take effect constitutes your binding acceptance of the revised Terms.
• Termination: You may stop using the Service at any time. We reserve the right to terminate these Terms and suspend your platform access instantly if you breach these Terms or if legally compelled to do so by a regulatory authority. Clauses which by their nature should survive termination (including Ownership, Disclaimers, Limitations of Liability, Indemnification, and Dispute terms) shall fully survive.

• Governing Law: These Terms and any dispute arising out of them will be governed exclusively by the laws of British Columbia, Canada, without regard to conflict-of-law principles.
• Venue: Any formal legal action or proceeding arising out of or relating to these Terms must be brought exclusively in the courts located in Vancouver, British Columbia, and you consent to personal jurisdiction within those courts.
• Severability: If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, that specific provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. PackX may freely assign its rights and obligations under these Terms without restriction.
• Entire Agreement: These Terms (alongside our Privacy Policy and drop-page disclosures) constitute the entire agreement between you and PackX regarding your use of the Service, superseding any prior written or oral agreements.
